Welcome to Korpi AI. These Terms of Service ("Terms") govern your access to and use of the Korpi AI platform, including our website, AI-powered video creation tools, and all related services (collectively, the "Services"). Please read these Terms carefully before using the Services.

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Services.

If you connect a YouTube account or use any YouTube publishing, scheduling, or upload feature in the Services, you also agree to be bound by the YouTube Terms of Service.

2. Your Services Provider

The entity providing the Services is Korpi AI Inc., a corporation incorporated under the laws of the Province of Ontario, located at 130 King Street West, Suite 1900, Toronto, Ontario, M5X1E3, Canada (referred to as "Korpi AI," "we," "us," or "our").

3. Description of Service

Korpi AI is an AI-powered platform that enables users to create short-form video content without manual editing. Our Services include, but are not limited to:

• AI-powered script and content generation
• AI voiceover synthesis via third-party providers
• AI image generation for video scenes
• Automated video rendering and assembly
• Background video and music templates
• Campaign automation and scheduling tools
• AI agent-assisted video creation

4. Who May Use the Services

4.1 Age Requirements

You must be at least 16 years old to use the Services. If you are under the age of 18, you represent that you have your parent's or legal guardian's permission to use the Services and that they have agreed to these Terms on your behalf.

4.2 Businesses

If you are using the Services on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms. You are responsible for all activities that occur under your account credentials.

5. Your Account

To access certain features of the Services, you must create an account. You agree to provide accurate, complete, and current registration information and to keep this information up to date.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately if you become aware of any unauthorized use of your account.

You may not share your account with others or transfer it to another person without our prior written consent.

6. Subscriptions and Payment

6.1 Subscription Tiers

We offer multiple subscription tiers with varying features, usage limits, and pricing. Your subscription tier determines the number of AI-generated videos per month, maximum video duration, generation speed, and access to premium features.

6.2 Billing

Subscriptions are billed on a recurring basis (monthly or yearly) at the rate selected at the time of purchase. By selecting a recurring payment plan, you authorize us to charge your payment method on a recurring basis until you cancel. All prices are in USD unless otherwise stated, and you are responsible for any applicable taxes.

6.3 Auto-Renewal

Unless you cancel before the end of your current billing period, your subscription will automatically renew for successive periods of the same duration at the then-current rate. You may cancel auto-renewal at any time through your account settings.

6.4 Refunds

These refund terms apply only to purchases made after this version is published and accepted at checkout, and renewals of subscriptions purchased under those terms. Earlier purchases and existing subscriptions, including their automatic renewals, keep the refund terms previously accepted unless you validly agree to new terms for that subscription. Visiting this page or continuing to use Korpi does not replace those earlier refund rights. Read the September 4, 2026 refund terms.

• Subscriptions, renewals and credit packs. Purchases are non-refundable for a change of mind, unused access or credits, or a renewal you forgot to cancel. This applies to monthly, annual and lifetime purchases, subject to the rights and exceptions below.
• Cancellation. Cancel before your next renewal to stop future charges. Cancellation does not itself refund the current period; access continues until that period ends.
• Incorrect billing and service problems. Contact us about duplicate or incorrect charges, non-delivery, or a service that does not work as described. We will investigate and correct confirmed billing errors and provide the remedy required by applicable law or your accepted terms. A refund may be part or all of the affected charge, depending on the issue and the remedy owed.
• Your legal rights. Nothing in this policy limits mandatory consumer rights, including any applicable withdrawal right or remedy for faulty or undelivered services. A refund you are entitled to is not conditional on accepting credits or a plan change.
• Earlier purchases. These terms apply to new purchases accepted at checkout. Earlier purchases and existing subscriptions, including automatic renewals, keep their accepted refund terms unless you validly agree to new terms for that subscription.

To request a review, contact our support team through the site chat or contact@korpi.ai with your account email, charge date and issue. We check the terms applicable to your purchase and the billing and service records. Any discretionary settlement is assessed individually; a full or partial refund is not guaranteed outside your applicable rights.

6.5 Immediate Access and the Right to Withdraw

When you buy a plan you ask us to make the Services available to you immediately. If you are a consumer in the United Kingdom or the European Economic Area, you normally have 14 days to withdraw from an eligible distance contract. Whether and when that right ends depends on applicable law, the type of supply and any valid consent and acknowledgement required by law. This page or an ordinary checkout click alone does not establish that those requirements have been met. Mandatory withdrawal and service remedies are unaffected by our commercial refund restrictions.

6.6 Price Changes

We may modify subscription fees at any time. We will provide advance notice of any fee changes. If you have an active subscription, the new pricing will take effect at the start of your next billing cycle. Continued use of the Services after a price change constitutes acceptance of the new fees.

7. Content and Intellectual Property

7.1 Your Content

You retain ownership of all content you create using the Services, including generated videos, scripts, and other output ("Your Content"). You are solely responsible for ensuring that Your Content complies with applicable laws, regulations, and third-party rights.

When you upload, link to, or otherwise supply images, videos, channel references, characters, voices, or other material, you acknowledge that you have the rights, permissions, consents, or other lawful basis needed for us to process that material and for your requested use. A publicly accessible link does not by itself grant permission to reproduce or adapt its content.

You are responsible for reviewing generated content and ensuring that creating, publishing, distributing, or monetizing it respects copyright, trademark, privacy, publicity, and other applicable rights. The Services do not grant you rights in third-party material or guarantee that an output is cleared for your intended use. Nothing in these Terms excludes obligations or liability that cannot lawfully be excluded.

7.2 License to Korpi AI

By using the Services, you grant us a worldwide, non-exclusive, royalty-free license to store, process, and technically modify Your Content solely for the purpose of providing and improving the Services. This license terminates when you delete Your Content or close your account, except for content that has been shared publicly or with other users.

7.3 Our Intellectual Property

Korpi AI retains all rights, title, and interest in and to the Services, including our AI models, algorithms, software, templates, background media libraries, branding, and platform. You may not copy, modify, distribute, sell, lease, reverse-engineer, or create derivative works based on any part of the Services without our prior written consent.

7.4 Restrictions

You may not resell or redistribute our AI models, background templates, or music libraries. Your subscription is for your use only and may not be shared or transferred.

8. Acceptable Use

You agree not to use the Services to:

• Generate content that is illegal, harmful, threatening, defamatory, obscene, or that violates third-party rights
• Infringe on any intellectual property rights, publicity rights, or privacy rights of others
• Attempt to circumvent usage limits, technical measures, or security features
• Use automated tools to scrape, crawl, or extract data from the Services
• Reverse-engineer, decompile, or attempt to discover the source code or underlying algorithms of the Services
• Use output from the Services to develop competing products or services
• Distribute spam, malware, or other malicious content through the Services
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity
• Use the Services for any purpose that violates applicable law

A violation of any of the foregoing is grounds for immediate termination of your right to use the Services.

9. Fair Use Policy

Korpi AI provides unlimited access to included AI generation features as part of our commitment to making creative tools accessible. However, to ensure a quality experience for all users, these features are subject to a fair use policy.

Under normal, everyday use you will never encounter any restrictions. In rare cases where usage is significantly above typical levels in a single day, we may temporarily ask you to switch to an alternative model or try again the following day. This helps us maintain fast, reliable service for everyone.

Premium and credit-based features (such as paid image models and video generation) are not subject to fair use limits — your credits are yours to use as you see fit.

We reserve the right to adjust fair use thresholds at any time. If your workflow requires consistently high volumes of free generations, we recommend upgrading to a paid model for the best experience.

10. Service Availability and Updates

We strive to maintain high availability of the Services but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue any part of the Services at any time, including adding or removing features, offering new tools, or retiring existing ones.

We will make reasonable efforts to notify you of material changes that would adversely affect your use of the Services, but this is not always practical.

11. Account Suspension and Termination

11.1 Termination by You

You may stop using the Services and close your account at any time through your account settings. If you cancel a paid subscription, you may continue to use the Services until the end of your current billing period.

11.2 Termination by Korpi AI

We may suspend or terminate your access to the Services at any time if we reasonably believe you have violated these Terms, or for any other reason in our sole discretion. We will attempt to provide advance notice when practicable so you can retrieve your data.

11.3 Effect of Termination

Upon termination, your right to use the Services ceases immediately. We may delete your account data, including any content associated with your account. Provisions of these Terms that by their nature should survive termination will remain in effect, including intellectual property rights, limitation of liability, and dispute resolution.

12. Data and Privacy

We collect and process your personal data as described in our Privacy Policy. By using the Services, you acknowledge and agree to our data collection and processing practices as outlined therein.

12.1 Automatic Data Retention

Project records are automatically deleted 90 days after their most recent update. Failed or cancelled media-generation jobs are automatically deleted after 90 days, and generation-attempt logs used for service reliability and troubleshooting are automatically deleted after 60 days.

Deletion of these records is permanent, and related project content may no longer be accessible through the Services. You are responsible for downloading any project content you want to keep before its retention period ends.

13. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. KORPI AI DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED. YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL KORPI AI, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR USE OF OR INABILITY TO USE THE SERVICES; (B) ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA; (C) ANY THIRD-PARTY CONDUCT ON THE SERVICES; OR (D) ANY OTHER MATTER RELATING TO THE SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO KORPI AI IN THE TWELVE (12) MONTHS PRECEDING THE APPLICABLE CLAIM, OR ONE HUNDRED CANADIAN DOLLARS (CAD $100), WHICHEVER IS GREATER.

15. Indemnification

You agree to indemnify and hold harmless Korpi AI Inc., its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with (a) your use of the Services, (b) your violation of these Terms, (c) your violation of any third-party rights, or (d) any content you create or distribute through the Services.

16. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will notify you by posting the revised Terms on our website, sending you an email, or by other reasonable means. The "Effective date" at the top of these Terms indicates when they were last updated. Your continued use of the Services after any changes constitutes acceptance of the updated Terms, except that changes to refund rights apply only as described in section 6.4.

17. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising from or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts located in Toronto, Ontario, Canada.

18. Miscellaneous

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision. These Terms constitute the entire agreement between you and Korpi AI regarding the Services and supersede all prior agreements and understandings.

You may not assign or transfer these Terms, or any rights or obligations hereunder, without our prior written consent. We may freely assign or transfer these Terms without restriction.

19. AI-Generated Content and Disclosure

Videos, images, voices and text made with the Services are generated or altered by artificial intelligence. When you publish content that shows realistic people, places or events that did not happen, or a voice or likeness that resembles a real person, you must clearly disclose that it is AI-generated or manipulated, as required by the EU Artificial Intelligence Act, other applicable laws and the rules of the platform you post to (for example the AI-content labels on TikTok, YouTube and Instagram). Do not remove or alter any label, watermark or metadata we add to identify AI-generated content.

You may only upload or clone a person's face or voice with that person's permission. You must not create sexual or intimate imagery of a real person without their consent, sexual content involving minors, or content designed to deceive voters about elections or candidates.

20. Reporting Content and Points of Contact

To report content hosted on Korpi AI that you believe is illegal, infringes your rights or breaks these Terms, email contact@korpi.ai with the subject "Content report". Include the link or project ID, why you believe the content is illegal or infringing, your name and email (unless the report concerns child sexual abuse material), and a statement that your report is accurate and made in good faith.

We review reports promptly and without undue delay. Reports of non-consensual intimate imagery, including AI-generated imagery, are acted on within 48 hours. When we remove content or restrict an account, we tell the affected user why and how to contest the decision, unless the law prevents us. You may reply to that notice to ask us to review the decision.

20.1 Copyright Notices (DMCA)

We respond to notices of alleged copyright infringement under the U.S. Digital Millennium Copyright Act (17 U.S.C. § 512) and similar laws. Send notices to our designated agent:

A notice must include:

• Your physical or electronic signature
• The copyrighted work you believe is infringed
• The infringing material and a link, project ID or other information that lets us locate it
• Your name, address, telephone number and email address
• A statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent or the law
• A statement, under penalty of perjury, that the notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf

If your content was removed and you believe this was a mistake or misidentification, you may send a counter-notice to the same agent with your signature, the removed material and where it appeared, a statement under penalty of perjury that you have a good-faith belief it was removed by mistake or misidentification, and your name, address and telephone number with your consent to the jurisdiction of the federal district court for your address (or, outside the United States, any judicial district in which Korpi AI may be found) and to accept service from the person who sent the notice. We may restore the material 10 to 14 business days after receiving a valid counter-notice unless the notifier tells us it has filed a court action. Knowingly false notices or counter-notices may create liability for damages under 17 U.S.C. § 512(f).

We terminate, in appropriate circumstances, the accounts of users who repeatedly infringe copyrights.

Our single point of contact for users and for authorities of EU Member States, the European Commission and the European Board for Digital Services under the EU Digital Services Act is contact@korpi.ai. We accept communications in English.

21. Regional Terms

Nothing in these Terms limits rights you have as a consumer that cannot be waived or limited by contract under the law of the country, state or province where you live. Where these Terms conflict with those rights, those rights prevail.

• European Economic Area, United Kingdom and Switzerland: the choice of Ontario law in section 17 does not deprive you of the protection of the mandatory consumer laws of your country of residence, and you may bring proceedings in the courts where you live. The withdrawal right and statutory remedies for digital content and services described in section 6.5 apply. The European Commission's consumer dispute resolution information is available from your national consumer authority.
• United States: subscriptions renew automatically at the price and interval shown at checkout until you cancel. You can cancel online at any time in Account settings, and cancellation takes effect at the end of the current billing period. We give notice before a price change applies to your subscription.
• Canada and Quebec: if you are a consumer in Quebec, the Consumer Protection Act applies and any clause of these Terms that it prohibits does not apply to you. These Terms are provided in English at your request; you may ask us for a French version.
• Australia and New Zealand: our services come with guarantees that cannot be excluded under the Australian Consumer Law or the New Zealand Consumer Guarantees Act, and sections 13 and 14 apply only to the extent those laws permit.
• Everywhere else: the disclaimers and limits in sections 13 and 14 apply only to the extent permitted by the law that applies to you.
